Welcome to Naa AI! This document outlines the Terms of Use ("Terms") governing your access and use of Naa AI, an AI-powered platform provided by Juu Studio, a company registered in Ghana. By accessing or using Naa AI, you agree to be bound by these Terms.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you and Juu Studio. By using Naa AI, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you disagree with any part of these Terms, you may not use Naa AI.
2. Eligibility
You must be at least 13 years old to be eligible and permitted to use Naa AI. If you are under 18, you must have your parent or legal guardian's permission to use Naa AI.
3. Account and Security
To access certain features of Naa AI, you may need to create an account. While Naa AI takes reasonable measures to protect the personal information you provide us, you bear the ultimate responsibility for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account. You agree to notify Juu Studio immediately of any unauthorized access or use of your account.
4. Prohibited Use
You may not use Naa AI for any unlawful, illegal, or unauthorized purpose, including but not limited to:
- Violating any local, national, or international law or regulation.
- Transmitting any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, racially or ethnically offensive, or otherwise objectionable.
- Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity.
- Interfering with or disrupting Naa AI or its servers or networks.
- Attempting to gain unauthorized access to Naa AI, other accounts, computer systems, or networks connected to Naa AI.
- Collecting or storing personal information about other users without their explicit consent.
- Using Naa AI for any commercial purpose or to engage in any activity that is competitive with Juu Studio.
5. Content
- User Content: You are solely responsible for the content you submit, upload, or otherwise make available through Naa AI ("User Content").
- Naa AI Content: Juu Studio owns all right, title, and interest in and to the content generated by Naa AI, including but not limited to text, code, graphics, images, and other materials ("Naa AI Content").
- License: By submitting User Content, you grant Juu Studio a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with Naa AI. You also represent and warrant that you own all rights to your User Content, or have obtained all necessary permissions and licenses to grant Juu Studio the rights granted herein. You acknowledge and agree that the collection and use of this data is in accordance with our Privacy Policy, available at hellonaa.com/privacy.
- Copyright: You retain copyright ownership of your User Content, subject to Naa AI's right to use the data for the purposes stated in these Terms and the Privacy Policy. However, you grant Juu Studio a non-exclusive license to use your User Content for purposes of providing and improving Naa AI.
6. Intellectual Property
- All intellectual property rights in and to Naa AI, including but not limited to trademarks, copyrights, and patents, are owned by or licensed to Juu Studio. You may not use any of Juu Studio's intellectual property without its express written consent.
- Naa AI does not claim ownership of any User Content you create using Naa AI. You retain all rights to your User Content, subject to Naa AI's right to use the data for the purposes stated in these Terms and the Privacy Policy.
- Naa AI may use your User Content for model training and service improvement, but your data will be anonymized and aggregated.
7. Disclaimers
- No Warranties: Naa AI is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or title.
- Accuracy and Completeness: Juu Studio does not warrant the accuracy, completeness, reliability, or timeliness of Naa AI's responses.
- Risk of Use: You use Naa AI at your own risk and assume all responsibility for your interactions and decisions based on its output. You should always use your own judgment and verify any information generated by Naa AI with reliable sources.
8. Limitation of Liability
Juu Studio will not be liable for any damages arising from your use of Naa AI, including but not limited to:
- Direct, indirect, incidental, consequential, or punitive damages.
- Loss of data, revenue, profits, or business opportunities.
- Any loss or damage resulting from your reliance on the accuracy or completeness of Naa AI's responses.
9. Indemnification
You agree to indemnify, defend, and hold harmless Juu Studio, its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, demands, losses, liabilities, costs, and expenses (including attorneys' fees) arising from or related to:
- Your use of Naa AI.
- Any violation of these Terms by you.
- Any content you submit or transmit through Naa AI.
10. Termination
Juu Studio may terminate your access to Naa AI at any time, with or without notice, for any reason, including but not limited to:
- Your violation of these Terms.
- Your violation of applicable laws or regulations.
- Your failure to pay any applicable fees.
- Your account inactivity for an extended period.
Upon termination, your account will be deactivated, and you will lose access to Naa AI. Juu Studio is not obligated to return any User Content to you upon termination.
11. Governing Law and Dispute Resolution
These Terms will be governed by and construed in accordance with the laws of the Republic of Ghana. Any dispute arising from or relating to these Terms will be resolved through binding arbitration in Accra, Ghana, in accordance with the rules of the Ghana Arbitration Centre.
12. Changes to These Terms
Juu Studio may revise these Terms at any time by posting the updated Terms on the Naa AI website. You will be notified of any changes or amendments to these Terms. Your continued use of Naa AI after the effective date of any changes to the Terms constitutes your acceptance of the revised Terms.

14. Entire Agreement
These Terms constitute the entire agreement between you and Juu Studio regarding your use of Naa AI. They supersede all prior or contemporaneous communications and proposals, whether oral or written.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck from the Terms, and the remaining provisions will remain in full force and effect.
16. Waiver
No waiver of any provision of these Terms will be effective unless in writing and signed by Juu Studio.
17. Notices
All notices and other communications under these Terms will be in writing and will be deemed to have been duly given when delivered personally, sent by certified or registered mail, postage prepaid, return receipt requested, or sent by reputable overnight courier service with next-day delivery confirmation.

Naa AI may offer different usage plans with varying features and limitations. Please refer to the specific terms and conditions of your chosen plan for details.
19. International Users
If you are accessing Naa AI from outside of Ghana, you agree to comply with all applicable local laws and regulations. You also agree that Juu Studio is not responsible for any legal issues that may arise from your use of Naa AI outside of Ghana.
20. Code of Conduct
We encourage all users to treat each other with respect and to use Naa AI responsibly. You agree to avoid:
- Harassment: Abusive, threatening, or offensive language or behavior directed towards other users.
- Discrimination: Using Naa AI to spread hate speech, incite violence, or promote intolerance based on race, religion, gender, sexual orientation, disability, or any other protected characteristic.
- Misinformation: Spreading false or misleading information that could harm others or cause public unrest.
- Spamming: Unwanted or unsolicited messages, including promotional content or advertising.
- Violating Privacy: Sharing personal information about other users without their consent.
Juu Studio reserves the right to take appropriate action, including account suspension or termination, against any user who violates this Code of Conduct.
